These Terms govern your use of the Topsia Website Designs website and the purchase of any service or product from us. By using our website, requesting a quote, or placing an order, you agree to these Terms. If you do not agree, please do not use our services.

1. Definitions

“Services” means any service or digital product we provide, including website design, development, SEO, Google Business Profile, paid advertising, AEO/GEO and AI services, content, design, audits, and maintenance. “Client”, “you” means the individual or business purchasing Services. “Deliverables” means the work produced for you.

2. Services and proposals

We provide Services as described on our website or in a written quote, proposal, or order. Any quote is valid for the period stated and is based on the scope provided at that time. Work outside the agreed scope may incur additional charges, agreed in advance.

3. Payment and milestones

• Projects are billed on a milestone basis. An initial payment is required before work begins, with the balance payable at agreed milestones and/or before final delivery and handover.
• Monthly services (such as SEO, Google Business Profile, paid advertising, AEO, and GEO) are billed in advance each month.
• All prices are in the currency shown at checkout and exclusive of any applicable taxes unless stated.
• For paid advertising, our fee is for management only; the advertising budget is paid by you directly to the relevant platform.
• We may pause or suspend Services for overdue payments after reasonable notice.

4. Client responsibilities

You agree to provide, in good time, the content, information, access, approvals, and feedback we need to deliver the Services. Delays in providing these may affect timelines. You confirm that any material you supply (text, images, logos, data) does not infringe any third-party rights and that you have permission to use it.

5. Revisions, scope, and timelines

Each project includes the number of revision rounds stated in your quote or product. Additional revisions or scope changes are chargeable. Timelines we provide are good-faith estimates, not guarantees, and may shift due to client delays, third-party services, or factors outside our control.

6. Third-party services

Our Services may rely on third-party platforms (e.g., Google, Meta, WordPress, hosting, plugins, payment gateways). We are not responsible for the availability, performance, policies, or pricing of third parties, or for changes they make to their platforms or algorithms.

7. Intellectual property and ownership

You receive full ownership of the final Deliverables created specifically for you upon receipt of full and final payment. Until full payment is received, all work remains our property. We may retain and reuse general know-how, techniques, and non-client-specific components, and we may display completed work in our portfolio and marketing unless you ask us in writing not to. Third-party assets (such as stock images, fonts, and plugins) remain subject to their own licences.

8. Confidentiality

Each party agrees to keep the other’s non-public business information confidential and to use it only to perform or receive the Services.

9. No guarantee of results

Our Services are provided on a professional best-effort basis. We do not guarantee specific outcomes such as search rankings, traffic, leads, sales, or advertising performance. See our Disclaimer for full details, which forms part of these Terms.

10. Warranties and limitation of liability

Services are provided “as is” to the fullest extent permitted by law. To the maximum extent permitted by law, our total liability for any claim arising from the Services is limited to the amount you paid us for the specific Service giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including loss of profits, revenue, data, or business.

11. Indemnity

You agree to indemnify us against claims, losses, or costs arising from material you provide, your use of the Deliverables, or your breach of these Terms.

12. Termination

Either party may terminate as set out in our Cancellation Policy. On termination, you remain liable for all work completed and milestones reached up to the termination date.

13. Acceptable use

You may not use our Services or website for unlawful, fraudulent, infringing, or harmful purposes. We may refuse or terminate Services for breach of our Acceptable Use Policy.

14. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including outages, third-party failures, natural events, or government action.

15. Governing law

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal, India.

16. Changes

We may update these Terms. Continued use of our Services after changes constitutes acceptance.
